An incorporated company may apply for the deletion of the words “Limited” or “Limited” if its purpose is limited to promoting commercial, artistic, scientific, religious, charitable or other useful purposes, and the Articles of Association prohibit the payment of dividends to its members with profits and income for those purposes.
**Application Details**
– Make a written application to the Registrar of Companies, with a completed checklist and supporting documents.
– Sufficient information is required to demonstrate compliance with section 103 of the Companies Ordinance.
**Grant of Licences as Appropriate**
– The Registrar will consider the relevant information and the circumstances of the application before deciding whether to grant the licence.
– The purpose of the company will not be approved if it is not compatible with the promotion of commercial, artistic, scientific, religious, charitable, or other useful purposes.
– Other factors include whether the company qualifies for charitable exemptions, whether it has the support of the appropriate government departments or public bodies, etc.
