The company secretary has a baa to do

According to the Companies Ordinance (Cap. 622) 474, all limited companies registered in Hong Kong are required to have at least one company secretary, who can be a natural person or body corporate (e.g. secretarial company, accounting firm).

If a company fails to comply with a direction referred to in this section, the company and each of its responsible persons shall be guilty of an offence and shall be liable to a fine at level 6 or, if the offence is a continuing offence, to a further fine of $2,000 for each day during which the offence continues.

As a company secretary, you are often required to file relevant documents with the Companies Registry, the most common ones include:

– Form No.: NAR1 – Annual Return

– Form No.: ND2A – Notice of Change of Company Secretary and Director (Appointment/Cessation)

– Form No.: ND2B – Notice of Change of Company Secretary and Director’s Particulars

– Form No.: ND4 – Notice of Resignation of Company Secretary and Director
